1. About CellarBoard
CellarBoard operates cellarboard.com.au, a subscription-based platform for the Australian bulk wine industry. These Terms of Service govern your access to and use of the CellarBoard platform, including all related services, features, and content.
By creating an account or using CellarBoard, you agree to these Terms. If you do not agree, do not use the platform.
2. Eligibility
CellarBoard is intended for use by businesses and individuals operating in the wine industry, including wineries, producers, negociants, bottlers, retailers, and related professionals. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By registering, you represent that you are authorised to act on behalf of the business you register.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and current information during registration and keep your profile up to date. CellarBoard reserves the right to suspend or terminate accounts that contain false or misleading information.
4. Subscription and Payment
CellarBoard offers a 30-day free trial. After the trial period, continued access requires a paid subscription. Subscription fees are billed monthly or annually in Australian dollars and include GST. All prices are as displayed on the platform at the time of purchase.
Payments are processed by Stripe. By subscribing, you authorise CellarBoard to charge your nominated payment method on a recurring basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
5. The Marketplace
CellarBoard provides a platform for sellers to list bulk wine and for buyers to discover and request samples. CellarBoard is not a party to any transaction between buyers and sellers. We do not take commission on any deal and do not guarantee the quality, legality, or availability of any wine listed on the platform.
Listings are anonymous until the seller chooses to reveal their identity by accepting a sample request. Once identities are exchanged, all negotiations, contracts, and transactions occur directly between the buyer and seller. CellarBoard bears no responsibility for the outcome of any deal.
Sellers are responsible for ensuring their listings are accurate, up to date, and comply with all applicable Australian laws, including labelling, food safety, and wine export regulations.
6. AI-Powered Features
CellarBoard uses artificial intelligence to provide market intelligence, pricing guidance, and portfolio analysis. These features are informational only and do not constitute financial, legal, or professional advice. AI-generated insights are based on available market data and benchmarks and may not reflect current market conditions with complete accuracy.
You should not rely solely on AI-generated data when making commercial decisions. CellarBoard accepts no liability for decisions made based on AI-generated content.
7. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable laws
- List wine that you do not have the legal right to sell
- Provide false or misleading information in listings or communications
- Attempt to access other users' accounts or private data
- Scrape, harvest, or collect data from the platform by automated means
- Interfere with or disrupt the platform or its infrastructure
- Use the platform to send unsolicited communications or spam
8. Intellectual Property
All content, design, code, and branding on the CellarBoard platform is owned by or licensed to CellarBoard and is protected by Australian and international intellectual property laws. You retain ownership of all data and content you upload to the platform, including inventory data, listing descriptions, and analysis results.
By uploading content, you grant CellarBoard a non-exclusive licence to use, display, and process that content solely for the purpose of providing the platform services to you.
9. Limitation of Liability
To the maximum extent permitted by law, CellarBoard's total liability to you for any claim arising out of or in connection with these Terms or the platform is limited to the total subscription fees paid by you in the 12 months preceding the claim.
CellarBoard is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, whether or not CellarBoard was advised of the possibility of such damages.
Nothing in these Terms excludes or limits any consumer guarantee under the Australian Consumer Law that cannot be excluded or limited by law.
10. Disclaimers
The platform is provided “as is” and “as available” without warranties of any kind, express or implied. CellarBoard does not warrant that the platform will be uninterrupted, secure, or error-free, or that any information provided through the platform (including AI-generated insights) is accurate or complete.
11. Termination
You may close your account at any time by contacting us. CellarBoard may suspend or terminate your account at any time for breach of these Terms, with or without notice. Upon termination, your right to access the platform ceases immediately. We will retain your data for a reasonable period to comply with legal obligations, after which it will be deleted.
12. Changes to These Terms
CellarBoard may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of South Australia, Australia. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of South Australia.
